Terms of Service

Last updated September 6, 2026

These terms are the agreement between you (the business using our services) and Timberwright (“we”, “us”). They cover our website at timberwright.ai, the client portal, the Timberwright iOS app, and the managed care, SEO & AEO, and engineering services we provide (together, the “Services”). By using the Services you agree to them. Where you have a signed proposal or order with us, it applies alongside these terms and controls if the two conflict.

1. What we do

Timberwright provides ongoing care for business websites — monitoring, maintenance, security, performance, updates, backups, and SEO/AEO work — and builds changes and features you request. The scope of your plan is described on our pricing page or in your proposal. Work outside your plan is quoted before we begin.

2. The approval workflow

Changes to your live site follow a staging-first process: we build on a private copy, show you a preview, and deploy only after approval in the portal or app (or, for routine maintenance covered by your plan — such as software updates and security fixes — after our own verification). You are responsible for reviewing previews; approving one authorizes us to publish it. Every action we take on your site is logged in your portal.

3. Your responsibilities

  • Give us accurate access (hosting, domain, WordPress, and similar) and keep it current. We use it only to provide the Services.
  • Own or have the right to use everything you ask us to publish — text, images, logos, and other content — and ensure it is lawful.
  • Keep your portal seats to people you trust; you are responsible for activity under your seats. Tell us promptly if a seat should be removed.
  • Pay on time (section 5).

4. Automation

We use software we operate, including AI-assisted tooling, to perform parts of the Services under the supervision of our engineers. It never publishes to a live site without the approval described in section 2. We remain responsible for the work delivered through it as if our engineers had done it by hand.

5. Fees and billing

Plans are billed monthly (or annually if agreed) in advance, in US dollars, at the rates on our pricing page or in your proposal. Prices may change with 30 days’ notice, effective at your next renewal. Late payments may pause the Services after a written reminder. Third-party costs we carry as part of your plan (hosting, licenses, tooling) are shown in your portal for transparency; they remain our contracts, not yours, unless we agree otherwise in writing.

6. Term and cancellation

Monthly plans continue until either of us cancels with 30 days’ written notice (email is fine). Annual plans run for the year and renew unless cancelled 30 days before renewal. On cancellation we hand back full access to your site, domain, and any accounts we created for you, and we stop all automation. Referral credits are applied to future invoices and have no cash value.

7. Ownership

You own your website, your content, and your data. Custom code and designs we create for you become yours when paid for, except for our pre-existing tools, libraries, templates, and know-how, which we license to you for your site’s use. The portal, app, and our internal tooling remain ours.

8. Confidentiality and data

We treat your credentials, business information, and site data as confidential and use them only to provide the Services. Our Privacy Policy describes how we handle personal information. You are responsible for the lawfulness of the personal data on your own site (for example, your visitors’ form submissions).

9. Service levels

We aim for continuous monitoring and prompt response, and we prevent far more incidents than we resolve — but the internet, hosting providers, and third-party software are outside our control. We do not guarantee uninterrupted availability or specific search rankings. Where your plan includes a response-time commitment, it is stated in your proposal.

10. Warranties and limits

We will perform the Services with reasonable skill and care. Except for that, the Services are provided “as is”. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, or consequential damages, or for lost profits or revenue, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.

11. The portal and app

Your portal and app access is personal to your business and its invited seats. Don’t attempt to access other clients’ data, probe or overload the Services, or reverse-engineer them. We may suspend access to protect the Services or other clients, and will tell you why.

12. General

These terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules, and disputes will be resolved in its courts unless we both agree to mediation first. If part of these terms is unenforceable, the rest still applies. We may update these terms; material changes will be announced in the portal or by email, and continued use after the effective date is acceptance.
